Company Income Tax Return and Corporate Tax Rates in Bangladesh 2026-27: Deadline, Audited Accounts, Minimum Tax

A private limited company pays 27.5% — or 25% if every taka it received in the year came through a bank. That single condition, the turnover tax floor, and a filing date that is no longer extendable are what decide most companies' bills. Here is the 2026-27 position as we advise it.

  • Turnover tax (the renamed minimum tax) of 1% of gross receipts applies where it exceeds the regular tax; higher for tobacco, beverages and telecoms.
  • Return due on the 15th day of the ninth month after the year end — 15 March 2027 for a 30 June year end — with a 5% rebate for filing within six months and additional tax after the date.

The short answer

For tax year 2026-27 a non-listed company (the ordinary private limited company) pays tax at 27.5% of taxable profit, reduced to 25% if all of its income and receipts in the year were received through bank transfer — a condition the Finance Act 2026 tightened from the previous transaction-size thresholds. Listed companies pay 22.5% (20% with the bank condition) where at least 10% of paid-up capital was offered to the public, and 25% (22.5%) otherwise. Whatever the computed tax, a company pays at least the turnover tax — 1% of gross receipts for most businesses. The return, with audited accounts, is due on 15 March after a 30 June year end; the rates are legislated through tax year 2030-31.

The bank-transfer condition. Until 2025-26 the reduced rate required only that single transactions above Tk 5 lakh, and annual receipts above Tk 36 lakh, pass through a bank. From 1 July 2026 the condition is that all income and receipts in the year are received by bank transfer; cash sales that are properly recorded and deposited into the company’s bank account count. A retailer or restaurant with any undeposited cash loses the 2.5 points on its whole profit. Separately, s.55 continues to disallow expenses paid in cash above the limits.

Listed companies must also distribute at least 30% of post-tax profit as dividend; a shortfall attracts a 10% tax on the retained deficit (banks, insurers and NBFIs excepted). The rates in this section are as enacted by the Finance Act 2026 and are fixed through tax year 2030-31; excess turnover tax over regular tax can be carried forward. Other 2026 changes for companies: the compulsory advance-tax threshold rises to Tk 10 lakh of estimated liability; 50% shortfall interest applies only if the return is filed after the assessment year; the depreciable value of a motor vehicle rises to Tk 60 lakh (from 30 lakh); the associate-enterprise debt threshold is 35% of book assets and loans to associates below 12% a year are taxed on the difference; the excess-perquisite cap is Tk 25 lakh; and the sample-expense and promotional-expense limits were revised.

Turnover tax: the floor under every company

Section 163, renamed by the 2026 amendments, provides that a company pays the higher of its regular tax and a percentage of gross receipts: 1% for most companies (raised from 0.6% in 2025), 3% for tobacco, 2.5% for carbonated and sweetened beverages, 1.5% for mobile operators and NTTN licensees, 0.2% for new industrial undertakings in their first three years, and nil for startups registered in NBR’s sandbox during their growth period. The excess of turnover tax over regular tax is carried forward and set off against regular tax in later years. Government fertiliser and seed distributors, commission income, D/O business, money changers and gold and gem traders have their own treatment.

The practical effect: a trading company on thin margins can owe more in turnover tax than its profit would ever produce. We model it before every year end.

The filing date, the windows, and extensions that no longer exist

A company’s return is due on the 15th day of the ninth month after the end of its income year — 15 March for the usual 30 June year end, or 15 September for a 31 December year end. The 2023 Act had said the seventh month; the 2025 Finance Ordinance moved it to the ninth, and the 2025-26 deadline was in practice extended to 15 May 2026.

When a 30 June company filesEffect (2026 amendments)
1 July – 31 December (within six months)Rebate of 5% of tax, maximum Tk 25,000
1 January – 15 MarchNeutral
16 March – 30 JuneAdditional tax of 2%, minimum Tk 25,000
After the year10% of tax or Tk 5,000 if voluntary; 15% or Tk 10,000 after a notice under s.212

NBR’s power to extend the filing date by a month was repealed by the Finance Act 2026, and the old Deputy Commissioner’s extension has not existed since the 2023 Act. Plan the audit so that the accounts are signed by February. Advance tax is payable quarterly (15 September, 15 December, 15 March, 15 June) on the estimated liability; a shortfall below 75% of the assessed tax carries interest at 10% a year, higher if the return is also late.

What goes in with the return

  • Audited financial statements signed by a chartered accountant, as the Companies Act 1994 requires for every company, with an income computation sheet certified by a CA, CMA or ITP. The 2026 amendments also require firms, associations and the like above a turnover or capital threshold to file CA-audited accounts with a certified income computation; PwC reads the threshold as turnover above Tk 1 crore or capital above Tk 50 lakh, which we are confirming against s.73 as amended before relying on it.
  • Acknowledgements of the quarterly withholding tax returns under s.177 (due 25 October, 25 January, 25 April and 25 July). A company that has not filed them has an incomplete income tax return. See our withholding guide.
  • Schedules of depreciation, directors’ remuneration, related-party transactions, loans to and from directors, and the s.55 cash-expense analysis.
  • Challans for advance tax and the balance, and the TDS certificates for tax deducted by customers.
  • For a dormant or loss-making company, the return is still due — turnover tax applies to receipts even in a loss year — and directors need their own returns to keep their PSRs.

Whether companies must file online is not yet settled by order — the July 2026 e-filing mandate covers individuals; we file company returns through the portal where the circle accepts it and on paper where it does not.

New companies, exemptions and the first return

A newly incorporated company must obtain a TIN in the year of incorporation (the certificate alone suffices for that year under s.264), register for a WIN if it employs anyone, and file its first return for the period from incorporation to the first 30 June, however short. Tax holidays and reduced rates exist for listed sectors — industrial undertakings in economic zones and hi-tech parks, certain exports, IT-enabled services (to 30 June 2027 under the current paragraph), and the startup sandbox — but every one of them is conditional on filing on time and keeping the books in the prescribed way. We treat the first return as the most important one: it fixes the depreciation base, the capital structure and the circle’s picture of the company for years.

Common questions

What is the corporate tax rate in Bangladesh for 2026-27?

27.5% for non-listed companies, reduced to 25% if all receipts for the year came through the bank. Listed companies pay 22.5% (20%) with at least 10% public issue, or 25% (22.5%) otherwise. Banks and financial institutions 37.5–40%; mobile operators 45%; tobacco 45% plus surcharge.

When is a company's income tax return due?

On the 15th day of the ninth month after the income year ends — 15 March 2027 for a 30 June 2026 year end. Filing within six months earns a 5% rebate; filing after 15 March attracts additional tax.

Can the deadline be extended?

No. The Finance Act 2026 repealed NBR's power to extend the date by a month, and there is no Deputy Commissioner extension under the 2023 Act.

What is turnover tax?

The renamed minimum tax under s.163: a company pays at least 1% of gross receipts (3% tobacco, 2.5% beverages, 1.5% telecoms, 0.2% new industries) even if its regular tax is lower, with the excess carried forward.

Does a company need audited accounts?

Yes. Every company files audited financial statements with its return, with an income computation sheet certified by a CA, CMA or ITP.

What is the bank-transfer condition for the reduced rate?

From 1 July 2026 all income and receipts in the year must be received by bank transfer, including recorded cash sales deposited into the company account. Any undeposited cash receipt forfeits the 2.5-point reduction.

Does a loss-making or dormant company have to file?

Yes, and turnover tax of 1% of any receipts still applies. Directors also need their own returns to keep their proofs of submission.

What are the withholding return dates for companies?

Quarterly under s.177: 25 October, 25 January, 25 April and 25 July. The income tax return is incomplete without their acknowledgements.
