Arbitration and the Salishnama in Bangladesh: Writing It, Running It and Enforcing the Award

Arbitration lets parties choose who decides their dispute and keep it out of court. It works only if the salishnama (arbitration agreement) is written properly. Here is how to get it right.

At a glance
  • An arbitration agreement must be in writing (s.9); signed documents, letters and emails can qualify.
  • If one side sues despite the agreement, the court can stay the suit and send the parties to arbitration (s.10).
  • If the number of arbitrators is not agreed, the default is three.
  • An award can be challenged within 60 days of receipt; otherwise it is enforced like a court decree.

The short answer

In everyday Bangla, salish covers both a village elders’ settlement and formal arbitration. Only formal arbitration under the Arbitration Act 2001 produces an award the court will enforce. It starts with a written arbitration agreement, either a clause in a contract or a separate salishnama signed after a dispute arises.

The tribunal hears both sides and gives a written award. The District Judge’s court deals with domestic arbitration matters; the High Court Division handles international commercial arbitration.

Village Courts at Union Parishad level can hear specified minor civil and criminal disputes under the Village Courts Act 2006, as amended in 2024. The monetary ceiling is Tk 3 lakh, subject to the case categories, valuation rules and other conditions in the Act and its Schedule. In criminal matters this is a power to order compensation, not a general power to fine.

A Village Court is a separate statutory forum, not arbitration. It cannot take a civil dispute where the parties’ contract contains an arbitration or dispute-resolution clause (section 3(2)(b)).

What a good salishnama says

  • The parties, with full names, addresses and NID numbers.
  • The disputes covered: all disputes under a contract, or a defined dispute.
  • The number of arbitrators and how each is appointed, including what happens if one side fails to appoint.
  • The seat (place), the language, and any rules, such as those of BIAC.
  • That the award is final and binding, and how costs are shared.
  • Signatures of both parties and witnesses, with the date.

A vague clause invites court applications later about who appoints whom.

Challenging or enforcing the award

A party can apply to set aside the award within 60 days of receiving it, on limited grounds such as invalid agreement, no proper notice, matters beyond the reference, procedural failure, public policy, fraud or corruption (ss.42–43). The court does not re-hear the merits.

If no challenge succeeds, the award is enforced as if it were a decree of the court (s.44). Foreign awards are enforced through the District Judge’s court in Dhaka (s.45).

Common questions

How do I write an arbitration agreement (salishnama)?

Put it in writing and have the parties sign. Name the disputes covered, the number of arbitrators and how they are appointed, the seat, the language and any rules, and state that the award is final.

Is a village salish decision legally binding?

Not as an award. A village salish is a customary settlement that binds only as a private agreement. For an enforceable decision, use arbitration under the Arbitration Act 2001 or the Village Court where it has jurisdiction.

Can I go to court if there is an arbitration clause?

If you sue, the other side can ask the court to stay the suit and refer the dispute to arbitration under section 10, unless the agreement is void, inoperative or the dispute cannot be arbitrated.

How many arbitrators are needed?

As many as the parties agree, usually one or three. If they do not agree a number, the default is three.

How long does arbitration take?

The Act sets no fixed time for the award. Parties can agree a timetable in the salishnama, and a sole arbitrator is usually faster.

How do I challenge an arbitration award?

Apply to the court to set it aside within 60 days of receiving the award, on the limited grounds in sections 42 and 43. The court does not re-decide the merits.

How is an arbitration award enforced?

Under section 44 it is enforced as if it were a decree of the court, through execution proceedings.

Can family disputes go to arbitration?

Some property and money disputes between family members can. Divorce, dower and maintenance follow family law procedures, and many family disputes now need pre-case mediation first.
