RJSC Online Explained: Company Name Search, Submission Status, Certificate Verification and Certified Copies

Most people who type "RJSC" into Google are not registering a company; they are trying to find one, check whether their filing went through, or get a certified copy for a bank. The Registrar of Joint Stock Companies and Firms runs all of that through app.roc.gov.bd. This guide walks through each task, what it costs, what the portal will and will not tell you, and when you need a lawyer rather than a login.

At a glance
  • RJSC is the government registrar for companies (Companies Act 1994), partnership firms (Partnership Act 1932), societies and trade organisations; its portal is app.roc.gov.bd and the head office is in Dhaka with divisional offices in Chattogram, Khulna, Rajshahi, Sylhet and Barishal.
  • Name search is free and public: the "Name Search" / entity search shows whether a company or firm exists, its registration number, status and type — not its shareholders or accounts.
  • Submission status, certified copies and certificate verification sit behind a free user account; certified copies cost Tk 400 per certificate and Tk 10 per 100 words for documents (minimum Tk 500) under the 2023 schedule, with 15% VAT.
  • The portal does not show a company's directors, shareholders or filed accounts to the public; those come through a certified-copy or inspection request (inspection fee Tk 400 since 2023).

The short answer

Create a free account at app.roc.gov.bd with your NID or passport, e-mail and mobile. Logged in, the dashboard offers the tasks the public actually needs: Name Search (is this company or firm registered, what is its number and status), Name Clearance (reserve a name before registering — see our name clearance guide), Submission (file documents for a company you are authorised for and track their status), Certified Copy (order a certified copy of the certificate, Memorandum, Articles, Form XII or annual return), Verification (confirm that a certificate someone has shown you is genuine), and Fee Calculator. Payment is online through the portal’s bank and card channels. The portal replaced counter filing in 2020 after the Companies (Second Amendment) Act 2020 introduced online registration; the divisional offices still handle physical inspection of files and some older records.

Searching a company or firm

Use the entity search on the portal (no login needed for a basic search). Enter the name or part of it; the result lists matching entities with their registration number, entity type (private company, public company, OPC, partnership firm, society, trade organisation), registration date and status (active, struck off, in liquidation). Three cautions from daily practice: the search is exact-ish, so try the English spelling the company used at registration and drop “Limited”; a name that does not appear may still be reserved under a pending name clearance; and “active” means the company has not been struck off — it does not mean its annual returns are up to date. For due diligence on a counterparty, order the certified Form XII (current directors) and the latest Schedule X annual return (shareholders and share capital), and have us read the Memorandum for the objects and the Articles for transfer restrictions.

Checking submission status

After a filing — incorporation documents, Form XII, annual return, share transfer — the portal shows one of a handful of statuses: submitted, under review, query raised, approved or rejected. A query is answered from the same screen with a corrected document; the clock restarts when you resubmit. The RJSC Citizen’s Charter sets service times of 20 days for Form XII and 30 days for share transfers, returns of allotment, amendments of the Memorandum and Articles, and incorporation; in practice clean filings clear well inside those limits. If a status has not moved for two weeks, the usual causes are an unpaid fee, an unsigned page in the upload, or a document the Registrar wants in a different form. Phone enquiries rarely resolve it; a short written query through the portal or a visit to the relevant desk does.

These are the figures in the Ministry of Commerce’s fee revision effective 1 July 2023 (copy of certificate Tk 200 to Tk 400, inspection Tk 100 to Tk 400, copies Tk 5 to Tk 10 per 100 words); the portal’s published fee page still shows some pre-2023 figures, but the 2023 schedule is what is charged. A typical “bank set” — certified MoA, AoA, Form XII and the certificate — costs about Tk 2,000–2,500 with VAT and is delivered as downloadable PDFs with the Registrar’s digital seal. Foreign authorities and some banks ask for an apostille on top; that is a Ministry of Foreign Affairs step, not RJSC’s.

Fees you will meet on the portal

The fee calculator on the portal quotes the registration fee on authorised capital (nil up to Tk 10 lakh, Tk 80 per lakh to Tk 50 lakh, Tk 130 per lakh above), the Tk 200 per-document filing fee, name clearance at Tk 500, and the late filing fee for annual returns. Stamp duty on the Memorandum and Articles is charged alongside but comes from the Stamp Act, not the RJSC schedule, and the portal’s stamp figures are out of date — use the Finance Act 2022 slabs in our registration guide. All RJSC fees attract 15% VAT. Partnership firm registration is Tk 5,000 plus VAT under the 2023 revision; society registration was raised to Tk 15,000 in 2023.

What the portal cannot do, and the offices

The portal does not accept court orders (objects-clause changes under s.12 still need the Company Court), does not restore a struck-off company (s.346 restoration is a court application), and does not resolve disputes between shareholders about who may file — if two factions each upload a Form XII, the Registrar typically freezes the file until a court or a settlement decides. Physical inspection, old paper records and certified copies of pre-digital filings go through the head office at RJSC Bhaban, Agargaon (TCB Bhaban area), Dhaka, or the divisional offices in Chattogram, Khulna, Rajshahi, Sylhet and Barishal. For a company you do not control, a lawyer’s letter requesting inspection under the Act is often faster than the portal.

General information, not advice on your case. This guide explains the law and the usual RJSC practice as at the date above. Fees, forms and portal procedures change by circular, and a draft amendment to the Companies Act is before the government; your own documents, Articles and the Registrar’s desk decide what applies to you.
